Terms of Service

1. Acceptance of Terms

By creating an account or using Ominvo, you agree to these Terms. If you do not agree, do not use the service. These Terms form a binding agreement between you and YoursVibe LLC, a Wyoming LLC, operating under the trade name Ominvo.

2. Description of Service

Ominvo is a SaaS platform that connects to your Google Business Profile, aggregates customer reviews, sends alert notifications, and uses AI to draft review responses for your approval. Features vary by subscription tier.

3. Subscription Tiers

• —Noob (Free): Up to 10 reviews per month, 5 AI reply drafts per month, Google reviews only
• —Chad ($30/month): Unlimited reviews, unlimited AI replies, Google reviews, email alerts
• —GigaChad ($99/month): Everything in Chad plus SMS alerts, team accounts, competitor tracking, AI auto-reply

4. Payment Terms

Billing is monthly via Stripe. Your subscription renews automatically on the same date each month. You authorize Ominvo to charge your payment method on file. Prices are in USD. We reserve the right to change pricing with 30 days' notice.

5. Refund Policy

ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. We do not offer refunds, credits, or partial refunds for any reason, including but not limited to:

• —You did not use the service during the billing period
• —You used the service partially during the billing period
• —You forgot to cancel before the renewal date
• —You were dissatisfied with AI-generated content
• —Technical issues outside our control

If you wish to stop being charged, you must cancel your subscription before your next renewal date. Cancellation stops future billing but does not entitle you to a refund for the current or any past billing period. This policy applies to all tiers including upgrades and downgrades.

6. Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the Noob (free) tier.

7. Acceptable Use

You agree not to:

• —Use Ominvo for any unlawful purpose
• —Attempt to access another user's account or data
• —Reverse-engineer, copy, or resell any part of the service
• —Use the service to generate spam, fake reviews, or misleading content
• —Violate Google's Terms of Service or API usage policies
• —Submit false or misleading information to the AI reply system

We reserve the right to suspend or terminate accounts that violate these terms without refund.

8. Google Integration

Ominvo connects to Google Business Profile API to fetch your reviews. You are responsible for maintaining your own Google account and complying with Google's Terms of Service. We are not affiliated with or endorsed by Google. If Google revokes API access, some features may be unavailable; this does not entitle you to a refund.

9. AI-Generated Content

AI reply drafts are generated by Anthropic Claude and are suggestions only. You are solely responsible for reviewing, editing, and posting any reply. We make no warranty that AI-generated content is accurate, appropriate, or legally compliant. Do not post AI replies without review.

10. Intellectual Property

Ominvo and its design, code, and branding are owned by YoursVibe LLC (operating as Ominvo). Your business data remains yours. You grant Ominvo a limited license to process your data to provide the service. You may not use our branding without written permission.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMINVO'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 3 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, OR SPECIFIC RESULTS FROM USING THE SERVICE.

13. Indemnification

You agree to indemnify and hold YoursVibe LLC (operating as Ominvo) harmless from any claims, losses, or damages arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

14. Termination, Suspension, and Appeals

We may suspend or terminate your account immediately, with or without notice, for any violation of these Terms, including but not limited to:

• —Filed payment disputes or chargebacks
• —Submission of spam or fake content, including spam testimonials
• —Abusive communications directed at our staff or other users
• —Attempts to evade billing or game subscription pricing
• —Any violation of the Acceptable Use clause in Section 7

Termination for cause is final. We do not issue refunds on terminated accounts, regardless of any unused portion of your subscription. Section 5 applies. If your account is suspended or terminated, you will receive a notice email containing a link to submit an appeal. Appeals must be submitted within 30 days. We reserve sole discretion to grant or deny reinstatement, and appeal decisions are final. Upon termination, your business data will be deleted per our Privacy Policy, except where we are required to retain records for legal compliance, fraud prevention, or audit purposes following a Terms violation. Retained records remain inaccessible to the terminated account holder. You may also delete your own account voluntarily at any time from your account settings; voluntary deletion is treated under our standard data retention policy.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration under AAA rules in Wyoming. Class action waiver: you agree to resolve disputes individually, not as part of any class.

16. Changes to Terms

We will notify users of material changes via email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
